Full course description
This course explores business and legal issues that arise in healthcare business combinations and transactions. The student will explore fundamentals of contract law, and consider transactions such as asset sales, mergers, joint ventures, and procurement contracts. Role valuations in healthcare transactions will also be touched upon.
Objectives
- Explain the Stark Law and Anti-kickback statute impact contracts in the health care space
- Understand the healthcare regulatory implications in services agreements, leases, and vendor agreements
- Review the documentation needed for a health care provider transaction
- Understand the process of a physician practice acquisition
Instructor
Rachel Adams, JD is a partner at Katten Muchin & Rosenman, primarily based in Chicago.
Her practice primarily consists of assisting health systems, private-equity backed health care platforms, and physician groups through complex transactions. She also guides health systems through transactions ranging from affiliations to acquisitions. She also advises clients on complex regulatory issues involving the Stark Law, the Anti-Kickback Statute, state corporate practice of medicine laws, and fee-splitting laws. She relies on her governmental experience to counsel clients facing antitrust issues.
Rachels experience includes representing health care providers in defense of Medicare audits, Medicaid audits, and in False Claims Act litigation. She has represented chain, independent, wholesale and veterinarian pharmacies in regulatory and transactional matters.
Course Outline
Healthcare Transactions and Contracts consists of 4 modules that will take approximately 2 hours each to complete. Total course commitment is 8 hours over 2 weeks.
